Terms of Use and End User Licence Agreement
1. Acceptance
These terms govern your use of popke.ca and of the software described in section 5. By using the site you agree to them. If you do not agree, please do not use the site.
2. Who we are
The site and the software are operated by MX4+2N Management Inc. ("we", "us", "our"). Contact: saas@mx4plus2n.com.
3. The website
The site is provided for general information about our consulting services. Content on it is not professional, legal, financial, tax or accounting advice, and it does not create a consulting relationship. We try to keep the site accurate and current but we do not warrant that it is.
4. Consulting services
Any consulting engagement is governed by a separate written agreement between us and the client. Nothing on this site is an offer to enter into an engagement, and nothing on it varies the terms of an engagement already in place. Where these terms conflict with a signed engagement agreement, the engagement agreement governs.
5. The QuickBooks Online integration
We operate a private software integration with QuickBooks Online.
Scope of licence. The integration is proprietary to us and is licensed for our own internal business use only. It is not distributed, sold, sublicensed or made available to any third party, and no licence to use it is granted to you by these terms or by your use of this site.
Permitted use. The integration may be used only by our authorized personnel, only against QuickBooks Online company files that we own and control, and only for legitimate internal accounting, reporting and bookkeeping purposes.
Restrictions. No person may copy, modify, reverse engineer, redistribute or attempt to gain unauthorized access to the integration or to the credentials that authorize it.
Intuit. QuickBooks and QuickBooks Online are products of Intuit Inc. We are not affiliated with, endorsed by or sponsored by Intuit. Use of QuickBooks Online is governed by Intuit's own terms, and nothing here varies them. How the integration handles data is described in section 5 of our Privacy Policy.
Availability. The integration is internal software provided as is. We make no commitment to any person that it will be available, supported or maintained.
6. Acceptable use
You agree not to use the site to break the law, to infringe anyone's rights, to introduce malicious code, to attempt unauthorized access to any system or account, to scrape or harvest data at a scale that burdens the site, or to misrepresent your identity or your affiliation with us.
7. Intellectual property
The site, its content, its design and our trade marks and business names are owned by us or licensed to us and are protected by Canadian and international law. You may view and print pages for your own reference. You may not otherwise reproduce, republish or commercially exploit the site or its content without our written permission.
8. Third party links and services
The site links to third party services, including a scheduling provider and LinkedIn. We do not control those services and are not responsible for their content, their availability or their handling of your information. Your use of them is governed by their own terms.
9. Disclaimer of warranties
To the fullest extent permitted by law, the site and any software described in these terms are provided as is and as available, without warranties of any kind, whether express, implied or statutory, including any implied warranty of merchantability, fitness for a particular purpose, accuracy or non infringement. We do not warrant that the site will be uninterrupted, timely, secure or error free.
10. Limitation of liability
To the fullest extent permitted by law, we are not liable for any indirect, incidental, special, consequential, exemplary or punitive damages, or for any loss of profits, revenue, data, goodwill or business opportunity, arising out of or relating to your use of the site, however caused and on any theory of liability.
Nothing in these terms excludes or limits liability that cannot lawfully be excluded or limited, including liability for fraud or for death or personal injury caused by negligence. Nothing in this section limits the obligations owed to a client under a signed engagement agreement.
11. Indemnity
You agree to indemnify us against any claim, loss, liability or expense, including reasonable legal fees, arising from your breach of these terms or your misuse of the site.
12. Governing law
These terms are governed by the laws of the Province of Alberta and the federal laws of Canada that apply there. You agree to the exclusive jurisdiction of the courts of Alberta, subject to any mandatory consumer protection rights you have where you live.
13. Changes
We may change these terms at any time. The effective date at the top shows when they last changed. Continuing to use the site after a change means you accept the revised terms.
14. Severability
If any provision of these terms is found unenforceable, the rest remain in force and the unenforceable provision is applied to the maximum extent permitted by law.
